Unless otherwise agreed, out-of-pocket expenses reasonably incurred in connection with the services, such as software licenses or third-party hosting costs, will be billed to you as agreed in the applicable agreement. We will obtain your approval before incurring significant expenses that were not contemplated in the agreed scope.

11. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed by the other party in connection with the services. Confidential information includes business plans, technical specifications, client data, pricing, and other information that is identified as confidential or that a reasonable person would understand to be confidential.

Confidential information does not include information that is or becomes publicly available without breach of these terms, that was already known to the receiving party without an obligation of confidentiality, that is independently developed by the receiving party, or that is lawfully disclosed by a third party without restriction.

The obligations in this section survive the termination of these terms and any applicable agreement for as long as the information remains confidential. Neither party will disclose the confidential information of the other party except to its personnel and advisers who need to know it and who are bound by confidentiality obligations at least as protective as those in this section.

12. Disclaimers and Limitations of Liability
